Job summary

Diversified Energy Company seeks an experienced securities, reporting and governance attorney to join our legal team as Associate General Counsel (Securities, Reporting & Governance) & Assistant Corporate Secretary. This role manages public company processes, compliance, and governance workstreams in a fast-paced environment.

The Office can be in Charleston, WV or Oklahoma City, with a remote option for the right candidate.

Qualifications

J.D. from an accredited law school with admission in good standing to the bar.
6+ years of substantive experience in securities law, public company reporting and corporate governance.
Strong knowledge of U.S. securities laws, SEC reporting, NYSE requirements and Delaware corporate law.

Responsibilities

Lead SEC reporting and disclosure processes (Forms 10-K, 10-Q, 8-K) and related filings.
Coordinate compliance with U.S. and U.K. regulatory obligations; liaise with outside counsel as needed.
Advise on governance matters and coordinate board and committee processes.
Support strategic transactions including offerings, share repurchases, and acquisitions.
Develop and deliver governance training and manage outside securities counsel.
Oversee insider trading policies and related compliance.
Provide practical legal guidance to executives and other functions.
