Qualifications

• J.D. from an accredited law school and active bar admission in at least one U.S. jurisdiction.
• 6+ years of substantive securities, public company reporting and governance experience.
• Strong knowledge of U.S. securities laws, NYSE governance and Delaware corporate law.

Responsibilities

• Lead SEC reporting and disclosure processes (10-K, 10-Q, 8-K, proxy statements).
• Advise on U.S. and U.K. securities and listing requirements and coordinate with external counsel.
• Monitor developments in securities laws and governance standards; assess impact and advise.
• Review earnings releases, investor materials and shareholder communications.
• Oversee insider trading policies, 10b5-1 plans and related ownership reporting.
• Manage board governance, charters, minutes and governance calendars.
• Advise on executive compensation, equity incentive plans, and proxy disclosures.
