That’s why we’re seeking an in-house Corporate Counselor accountable for providing timely and effective legal support and advice across Cogstate’s various lines of business, with a specific focus on commercial contracts (drafting, negotiation and management of various commercial contracts), and regulatory compliance (including data privacy and medical device regulations). The Corporate Counsel is expected work predominantly independently and will assist the General Counsel as required.

Key Responsibilities

  • Review, draft and negotiate agreements with customers, vendors, suppliers, consultants and other company business partners.
  • Work collaboratively and effectively with internal business partners.
  • Consider and respond to legal questions and issues from internal business partners, focusing on understanding their needs and producing viable and tangible solutions that effectively manage legal and financial risk.
  • Ongoing review and feedback on company contract templates.
  • Continue to seek and recommend greater efficiency in the company’s contracting processes.
  • Ensure agreements are properly executed, recorded and stored.
  • Maintaining oversight over and provide advice on compliance with medical device and other applicable regulations to Cogstate’s business activities
  • Developing and maintaining corporate policies, procedures and programs that align with the company’s business objectives; conduct training with respect thereto as requested.
  • Understanding the other main applicable laws and regulations impacting the company’s business and recommending appropriate risk mitigation activities.
  • Assist the General Counsel in the development, maintenance and improvement of the company’s data privacy policies, processes, and procedures; make appropriate recommendations to the CFO; conduct training with respect thereto as requested.
  • Ensure compliance with local, state, federal and international data privacy and security laws.
  • Drafting and negotiating data privacy and security agreements for Clinical Trials, Research and Healthcare, including data processing addendums, standard contractual clauses and business associate agreements.
  • Perform legal research as needed in support of Key Accountabilities or on other topics as otherwise requested by the General Counsel (e.g., Human Resources policies and practices.


Requirements

  • Law degree from an accredited law school.
  • Licensure to practice law in the relevant jurisdiction.
  • A minimum of 4-6 years of prior commercial and regulatory legal experience, ideally within the pharmaceutical, medical device, health and/or life sciences industry;
  • Prior corporate in-house experience in a multinational organization is preferred but not required.
  • Demonstrated contract drafting, negotiation, and legal research skills and experience.
  • Demonstrated experience and familiarity with data privacy and medical device regulations, ideally at a global level.
  • Demonstrated organizational, analytical and time management skills.
  • Demonstrated history of working independently with a sense of urgency in a fast-paced environment while managing competing priorities and changing demands

Wage Range

$165,000 - $180,000 USD
