JOB SUMMARY: The Corporate Counsel leads strategic and tactical legal initiatives across the organization. They advise senior management on company strategies and their execution, oversee the legal department, and engage and manage outside counsel. Additionally, the Corporate Counsel plays a key role in complex business transactions, including the negotiation of high-value contracts.

DEPARTMENT: Administration

DUTIES AND RESPONSIBILITIES

  • Advises the Board of Directors, Executive Committee, and association staff on legal matters.
  • Draft, negotiate and review vendor contracts of the Board.
  • Serve as staff liaison to the Bylaws committee and consult on all changes to the Board’s bylaws and policies.
  • Oversees leadership nominating processes for association.
  • Supports the functions of the Government Affairs Department including the political action committee.
  • Discuss, advise on, draft and present language and public policy on government affairs issues and matters as needed.
  • Train volunteer governance of the Board and relevant Board staff on parliamentary procedure and meeting management.
  • Collaborate with internal stakeholders to develop policies and procedures that align with legal requirements.
  • Develop and deliver educational content for membership which may include formal and informal legal updates, MCE and mandatory legal and ethics updates, written articles for various SABOR publications, videos and podcasts.
  • Create new programs geared toward SABOR members educating them on legal hot topics and regulatory/statutory compliance.
  • Conduct office visits throughout SABOR membership as assigned informing them of SABOR member benefits and value while providing legal updates.
  • Attend and participate in state and national REALTOR meetings as assigned by the President/CEO.
  • Attend and participate in state and national industry related conferences and meetings as assigned by the President/CEO.
  • Be a resource for parliamentary procedure and any legal matters.
  • Participate with Association committees as requested to advise on legal matters or discuss possible legal programs to be implemented through the committee.
  • Write articles and/or film short educational videos for publication.
  • Responsible for operating within the approved annual budget and within the guidelines of the SABOR policies and bylaws.

· Provide legal information to members on a case by case.

· Other Duties as Assigned by the President/CEO.

SUPERVISORY RESPONSIBILITIES

REQUIREMENTS AND QUALIFICATIONS

· Juris Doctorate from an accredited law school.

· Admitted to practice law in Texas.

· Minimum 5 years’ relevant experience practicing law in areas of real estate, association management, labor and employment, contracts, public policy and government affairs.

· Excellent writing skills – particularly for general audiences.

· Experience with local, state, or national government.

· Trade association/nonprofit experience preferred but not required.

· Proven track record of developing relationships with stakeholders both internal and external.

· Experience working with volunteers.

· Comfortable with public speaking and the ability to condense complex ideas.

· Customer centric mindset.

· Energetic with acute attention to details.
