ABOUT THE ROLE

As a fast-growing multinational enterprise, Pixalate is seeking an experienced NYC-based (with the ability to travel into DC, but mostly work remotely) corporate governance professional to help accelerate growth in a cost-effective and legally-compliant manner. Experience analyzing legislative and regulatory obligations for applicability, under U.S. and international laws and regulations, and a proven track record of unwavering adherence to governmental filing cadences are essential elements of this role. Candidates should possess excellent written and verbal communication skills, deep understanding of contracts law, and a working knowledge of corporate formalities such as board and shareholder resolutions, shareholder agreements, and share option awards. The role will require extensive cross-functional collaboration.

RESPONSIBILITIES
  1. Coordinate preparation and filing of annual financial returns, corporation tax returns, VAT returns, R&D tax credit applications, and service provider utilisation disclosures.
  2. Establish and maintain e-room repositories for corporate governance documentation.
  3. Understand material terms of subscription agreements for SaaS businesses and draft, negotiate, and amend such agreements.
  4. Identify and leverage governmental incentives (e.g., R&D tax credits) to generate business ROI and improve financial performance.
  5. Manage projects for the incorporation of international affiliates and subsidiaries.
  6. Draft intercompany agreements and board resolutions for international entities (e.g., Ireland, Delaware).
  7. Familiarity with OECD Guidelines for Multinational Enterprises.
  8. Basic understanding of share award schemes (e.g., UK EMI scheme).
  9. Experience with GAAP audits and investor due diligence.
  10. Maintain excellent interpersonal and communication skills.
QUALIFICATIONS
  1. Required: Bachelor’s degree in Law, Finance, Economics, Business Administration, International Affairs, or Management.
  2. Required: At least 4 years of professional legal experience and a legal education (e.g., LLB, GDL, JD).
  3. Required: Familiarity with global information security and privacy laws (e.g., GDPR, CCPA, CPA, CTDPA).
  4. Preferred: Startup and SaaS experience.
