Overview
How you can make a difference

The Corporate Counsel is a key member of HealthEquity's legal department, focusing on commercial contract review and negotiations. Responsibilities include drafting, negotiating, and reviewing various contracts to ensure legal compliance, minimize risk, and support business objectives. This involves reviewing commercial agreements (vendor, customer, partnership, licensing), identifying legal risks, advising stakeholders, and ensuring alignment with legal standards and strategic goals.

What you'll be doing
  1. Review and negotiate revenue and service partner (vendor) contracts to ensure terms are reasonable, within scope, and aligned with risk tolerances.
  2. Handle commercial and government contract review and negotiation, especially during peak months September through January.
  3. Review RFPs from public and private sectors for legal accuracy and compliance.
  4. Support teams with client and vendor agreements.
  5. Work closely with Contract Administration.
  6. Understand current and future product/service roadmaps, capabilities, and pricing models.
  7. Ensure contractual obligations are reviewed and approved appropriately.
  8. Maintain agreement forms, playbooks, and negotiation guides.
  9. Assist senior leadership with special projects and initiatives.
What you will need to be successful
  • Licensed to practice law in any US jurisdiction.
  • Strong academic credentials; JD from a leading law school.
  • 10-12+ years of in-house business contracting experience.
  • Knowledge of ERISA, HSA, and privacy regulations.
  • Experience negotiating procurement agreements with public sector clients is preferred.
  • Understanding of information security technologies.
  • Familiarity with employment law impacting benefit plans.
  • Ability to interact confidently with senior management.
  • Team-oriented attitude with a proactive approach.
  • Ability to balance legal risks with business needs.
  • Capable of working in a fast-paced environment.
  • Strong influencing, communication, and interpersonal skills.
  • Excellent judgment, attention to detail, and confidentiality.
  • Ability to handle ambiguity and multitask efficiently.
  • Solution-oriented with creative problem-solving skills.
  • License to practice law.
  • Preferred: CIPP/US certification.

This is a remote position.

Salary Range

$127,000 to $165,000 / year
