Overview

How you can make a difference

The Corporate Counsel is a key member of HealthEquity’s legal department, focusing on commercial contract review and negotiations. They oversee drafting, negotiation, and review of contracts to ensure legal compliance, minimize risk, and support business goals. This includes reviewing commercial agreements (vendor, customer, partnership, licensing), identifying legal risks, advising during negotiations, and ensuring terms align with legal standards and strategic objectives.

What you’ll be doing
  1. Review and negotiate revenue and service partner (vendor) contracts to ensure reasonable terms within the scope of products and services and risk tolerances.
  2. Handle commercial and government contract review and negotiations, especially during peak months September through January.
  3. Review RFPs from public and private sectors to ensure legal accuracy and compliance with contractual obligations.
  4. Support the Associate General Counsels, RFP response, and procurement teams with client and vendor agreements.
  5. Collaborate closely with the Contract Administration team.
  6. Understand current and future product/services roadmap, capabilities, limitations, and pricing models.
  7. Ensure contractual obligations are reviewed and approved by relevant team members.
  8. Maintain agreement forms, playbooks, and negotiation guides.
  9. Assist senior leadership with ad hoc projects and initiatives.
What you will need to be successful
  1. Licensed to practice law in any US jurisdiction.
  2. Strong academic credentials; JD from a leading law school.
  3. 10-12+ years of in-house business contracting experience.
  4. Knowledge of ERISA welfare benefit plans, HSA, and privacy regulations.
  5. Experience negotiating procurement agreements with public sector clients is highly desired.
  6. Understanding of information security technologies (TLS, two-factor authentication, AES, PKI).
  7. Knowledge of ADEA, ADA, FMLA, USERRA as they impact benefit plans.
  8. Ability to interact comfortably at senior levels with management.
  9. Team-oriented attitude; proactive and ownership-driven.
  10. Ability to balance legal risks with business needs.
  11. Comfort working in a fast-paced, high-activity environment.
  12. Strong influencing, communication, and interpersonal skills.
  13. Excellent judgment, attention to detail, and confidentiality handling.
  14. Ability to manage ambiguity and multitask effectively.
  15. Solution-oriented mindset and creative problem-solving skills.
  16. License to practice law; preferred certifications: CIPP/US.
Additional Details

This is a remote position. The salary range is $127,000 to $165,000 per year.
