Job description

Your experience negotiating commercial agreements, advising business leaders, and navigating complex contractual risks could have a direct impact on how a growing international energy equipment business operates.

Jereh North America Group is seeking a Corporate Counsel to support its North American Legal function in Houston.

The position works closely with Sales, Procurement, Engineering, Operations, and executive leadership on commercial transactions involving industrial equipment, power generation, supplier relationships, and business development.

Beyond interpreting contracts, the work involves understanding the commercial circumstances behind each agreement, identifying meaningful risks, and helping business teams reach practical solutions.

The environment is commercially active, with opportunities to contribute to contract negotiations, improve internal processes, and support business activities involving colleagues across North America and international markets.

Key Responsibilities
Commercial Contracts and Negotiation
  • Draft, review, negotiate, and interpret customer and supplier agreements, equipment sales contracts, procurement agreements, master service agreements, confidentiality agreements, and other commercial documents.
  • Evaluate contractual provisions involving indemnification, limitation of liability, warranties, performance guarantees, liquidated damages, termination rights, intellectual property, and contractual remedies.
  • Identify potential legal and commercial exposure and recommend practical alternatives that protect company interests while supporting business objectives.
  • Participate directly in negotiations with customers, suppliers, and external legal representatives.
  • Support contractual arrangements involving equipment delivery, performance obligations, project execution, and supplier commitments.
Corporate Legal and Business Support
  • Provide legal guidance to business stakeholders regarding commercial transactions, contractual obligations, and operational matters.
  • Support corporate governance, compliance, due diligence, and joint venture activities as needed.
  • Research legal and regulatory requirements and evaluate their potential implications for business operations.
  • Coordinate with outside counsel and internal stakeholders when specialized legal support is required.
  • Assist business teams in evaluating and resolving contractual disputes.
Legal Operations and Risk Management
  • Develop and improve contract templates, review procedures, approval processes, and risk management practices.
  • Translate complex legal requirements into clear, practical guidance for nonlegal stakeholders.
  • Help establish consistent approaches to contractual risk, negotiation, and compliance.
  • Support training and knowledge-sharing initiatives involving Sales, Procurement, and Operations.
  • Manage multiple agreements and competing priorities while maintaining accuracy and appropriate turnaround times.
International Collaboration
  • Work with colleagues across North America and Jereh's international organization, including its China headquarters.
  • Coordinate on time-sensitive commercial and legal matters involving different business functions and time zones.
  • Support cross-border transactions and commercial relationships.
Required Qualifications
  • Formal legal education, such as a Juris Doctor, Bachelor of Laws, or equivalent legal qualification.
  • Professional legal experience involving commercial agreements, contractual analysis, or corporate legal matters.
  • Demonstrated experience drafting, reviewing, interpreting, or negotiating commercial contracts.
  • Understanding of contractual risk allocation and the commercial implications of legal provisions.
  • Ability to examine unfamiliar issues, conduct research, and develop well-supported recommendations.
  • Strong written communication, analytical reasoning, and attention to detail.
  • Ability to manage competing priorities and work directly with business stakeholders.
  • Availability to work full-time, on-site in Houston, Texas.

Bar Admission: Current admission to a U.S. state bar is not required to be considered. Candidates with relevant legal education and experience who are willing and able to obtain applicable admission may also be considered. Any duties requiring a law license will be subject to applicable professional licensing requirements.

Preferred Experience
  • Energy, power generation, industrial manufacturing, or equipment supply.
  • Commercial transactions involving OEMs, suppliers, contractors, or industrial customers.
  • Engineering, procurement, and construction agreements.
  • International business transactions and cross-border contracting.
  • Corporate governance, joint ventures, and commercial due diligence.
  • In-house legal support involving Sales, Procurement, Operations, or Engineering.
  • Developing contract templates, legal workflows, or internal compliance practices.

What Matters in This Position

The Legal team places considerable value on professionals who approach complex assignments with curiosity, sound judgment, and persistence.

Successful performance involves more than identifying contractual risks. It requires understanding the business implications, exploring alternatives, maintaining attention to detail, and helping stakeholders reach informed decisions.

The ability to take ownership of assignments, communicate clearly, and respond effectively when business priorities change will be important.
