Descripción del empleo

For an experienced contracts professional, the ability to negotiate commercial terms, protect business interests, and keep complex agreements moving is often developed through years of working directly with customers, suppliers, and project teams.

Jereh North America Group is seeking a Contract Manager to support its North American Legal function in Houston.

The position focuses on commercial contract review, negotiation, administration, and risk management involving industrial equipment, power generation, procurement, and international business activities.

This is a hands-on opportunity for someone who understands how contractual language affects equipment delivery, supplier performance, commercial obligations, and project execution.

The role works directly with Legal, Sales, Procurement, Engineering, Operations, and executive leadership to address contractual issues and support informed commercial decisions.

Key Responsibilities
  • Independently review, draft, negotiate, and administer commercial agreements involving customers, suppliers, contractors, and business partners.
  • Manage agreements involving equipment sales, procurement, services, master supply arrangements, purchase orders, confidentiality, and other operational requirements.
  • Evaluate contract terms involving indemnification, limitation of liability, warranties, performance guarantees, liquidated damages, termination rights, and contractual remedies.
  • Review customer and supplier contract templates and negotiate proposed modifications.
  • Identify commercial and operational risks and recommend practical alternatives.
  • Support negotiations involving complex supplier relationships, strategic agreements, and significant equipment transactions.
Commercial Risk and Contract Performance
  • Evaluate contractual obligations related to equipment delivery, product performance, warranty requirements, and supplier commitments.
  • Identify gaps between customer commitments and corresponding supplier or subcontractor obligations.
  • Review contractual flow-down provisions to help maintain appropriate alignment between customer agreements and supplier commitments.
  • Support contract negotiations involving performance standards, schedule obligations, exclusivity arrangements, and remedies for nonperformance.
  • Work with internal stakeholders to resolve contractual disagreements and commercial issues.
  • Escalate material contractual risks with clear explanations and recommended options.
Contract Lifecycle Management
  • Manage contracts from initial review and negotiation through execution, administration, and subsequent amendments.
  • Maintain accurate contract records, approval documentation, and negotiated commercial terms.
  • Coordinate contract reviews with Legal, Procurement, Sales, Engineering, Finance, and Operations.
  • Prioritize multiple agreements based on business requirements, contractual exposure, and operational urgency.
  • Support contract compliance and the implementation of internal policies and procedures.
  • Improve contract management practices to support accuracy, consistency, and timely execution.
Business Partnership and Process Improvement
  • Work directly with business teams to understand the operational and commercial requirements behind agreements.
  • Explain contractual provisions and associated risks in practical terms.
  • Develop and improve contract templates, negotiation guidelines, checklists, and review procedures.
  • Assist with training and guidance that help business stakeholders recognize common contractual risks.
  • Support the development and implementation of contract governance and compliance procedures.
  • Contribute to continuous improvement initiatives involving contract workflows, documentation, and risk management.
International Collaboration
  • Coordinate with colleagues across North America and Jereh's international operations.
  • Support commercial agreements involving international suppliers, customers, and business partners.
  • Work with stakeholders across different time zones on time-sensitive contractual matters.
Required Qualifications
  • Substantial hands-on experience in commercial contract review, drafting, negotiation, and administration.
  • Demonstrated experience negotiating customer, supplier, procurement, service, or equipment-related agreements.
  • Strong understanding of commercial contract terms and risk allocation.
  • Experience managing contractual obligations, negotiations, amendments, and approvals.
  • Ability to identify contractual risks and recommend commercially practical solutions.
  • Experience working directly with business stakeholders and supporting negotiations.
  • Strong analytical skills, written communication, and attention to detail.
  • Ability to independently manage multiple agreements and changing priorities.
  • Availability to work full-time, on-site in Houston, Texas.
A law degree or bar admission is not required for this position.

Candidates with substantial contract management experience from commercial, procurement, engineering, construction, manufacturing, or energy-related environments are encouraged to apply.

Preferred Experience

Experience in one or more of the following areas would be valuable:

  • Power generation equipment, energy infrastructure, or industrial manufacturing.
  • Engineering, procurement, and construction projects.
  • OEM equipment supply and procurement contracting.
  • Complex supplier and customer contract negotiations.
  • Equipment purchase agreements, master supply agreements, service contracts, and purchase orders.
  • Performance guarantees, warranties, contractual remedies, and liability limitations.
  • Commercial risk management and contract compliance.
  • Contract lifecycle management systems, approval workflows, and negotiation playbooks.
  • International contracting and cross-functional coordination.
What Matters in This Position

This role requires someone who is comfortable working through the details of an agreement rather than relying solely on established templates or routine procedures.

The ability to recognize risks, investigate unfamiliar requirements, negotiate reasonable terms, and maintain progress across competing priorities is important.

Equally valuable is the ability to work collaboratively with business teams, explain contractual issues clearly, and balance commercial objectives with appropriate protections.

Candidates who demonstrate ownership, sound judgment, careful analysis, and the ability to learn quickly will find opportunities to contribute across a broad range of business activities.
