Job description

• Compensation: Full Cravath scale with potential for a sign on bonus
• Bonus Eligibility: 1,950 hours (General billable target of 1,850 hours)
• Non Billable Credits: Uncapped pro bono hours, 50+ firm citizenship hours, and 50+ client development hours count toward your target
• Schedule: Hybrid

Key Responsibilities

• Draft and negotiate complex definitive transaction agreements, including Stock/Asset Purchase Agreements, Merger Agreements, and Shareholders' Agreements.
• Offer counsel to private equity sponsors and corporate clients on a broad spectrum of matters, including divestitures, joint ventures, leveraged recapitalizations, and corporate governance.

Candidate Requirements

• Minimum of 5 years of experience in Corporate M&A and Private Equity practice at a leading corporate law firm (AmLaw 100 preferred, but not required). This is not an entry level role.
• Exhibit excellent skills in negotiation, drafting, and business-focused communication.
• Ability to handle a high volume of transactions and pivot to manage changing priorities.
