Job summary

Jobot is a well-established national law firm seeking an experienced Associate Attorney to join its Corporate group. This is a 100% remote role with opportunities to work across industries including entertainment, media, health, and startups.

The ideal candidate will have strong corporate transactional experience (financing, mergers, governance) and will draft remediations and counsel clients with minimal oversight. JD and bar in good standing required.

Qualifications

• J.D. with strong academic performance and bar license in good standing.
• Experience drafting board/shareholder resolutions, convertible notes, operating agreements, and incentive plans.
• Experience with IP rights, risk mitigation, contracts, corporate governance, financing, indemnification, restructurings, and fundraising.
• Expertise in corporate formation, start-up activities, contract review, negotiations, and IP law.

Responsibilities

• Structure, negotiate, document, and manage various transactions.
• Provide strategic business and legal advice to clients on general matters.
• Advise clients on rights and contractual responsibilities arising from agreements.
• Advise on changes in law related to restrictive covenants in employment.
• Establish and maintain stakeholder relationships with timely communications on deals and strategy.
• Contribute to internal processes and deal-making resources.

Base Salary Range: $150k-$170k/year based on experience

Job Overview

The ideal candidate will have experience in corporate transactional work i.e., finance transactions, mergers, corporate governance, etc., and be able to jump in and spot corporate governance issues, draft remediations documents, and counsel clients through growth and fund raising activities with only necessary oversight.

Responsibilities

• Structure, negotiate, document, and manage various transactions
• Provide strategic business and legal advice to clients on general legal matters
• Advise clients on legal rights, contractual responsibilities, and other matters arising out of various agreements
• Advise on changes in the law with respect to restrictive covenants as they relate to employment
• Establish and maintain key stakeholder relationships with regular, effective and timely communications concerning deal negotiation and business strategy
• Contribute to relevant internal and departmental process development and management, as well as deal‑making resources

Requirements

• J.D. with strong academic performance and membership in good standing with bar license.
• Experience drafting all or most of the following: Board and Shareholder Resolutions for fundraising or remediation efforts; convertible notes; Operating Agreements; amended and restated articles; Employee Incentive or Synthetic Incentive Plans and Grants.
• Experience with intellectual property rights and exploitation, risk mitigation, contract drafting. corporate governance, financing, indemnification, restructuring, & fund raising.
• Expertise with respect to corporate formation and start‑up activities, contract review, negotiations, and intellectual property law.
