Jobot is a well-established, national law firm seeking an experienced Associate Attorney to join its Corporate group remotely. The role focuses on corporate transactional work, governance, and fundraising with supervision.

The ideal candidate has a J.D. with strong academics and bar admission, plus experience drafting key corporate documents and advising on governance and IP-related matters.

Qualifications

• J.D. with strong academic performance and bar license in good standing.
• Experience drafting board/shareholder resolutions, convertible notes, operating agreements.
• Experience with corporate governance, funding, IP, and start-up deals.

Responsibilities

• Structure, negotiate, document, and manage corporate transactions.

Location: Remote (must live in the following regions: Chicago, Austin, Dallas, Miami, Philadelphia, Minneapolis, Tampa, Boston, or Nashville)

Base Salary Range: $150k-$170k/year based on experience

Job Overview

The ideal candidate will have experience in corporate transactional work i.e., finance transactions, mergers, corporate governance, etc., and be able to jump in and spot corporate governance issues, draft remediations documents, and counsel clients through growth and fund raising activities with only necessary oversight.

Responsibilities

• Structure, negotiate, document, and manage various transactions
• Provide strategic business and legal advice to clients on general legal matters
• Advise clients on legal rights, contractual responsibilities, and other matters arising out of various agreements
• Advise on changes in the law with respect to restrictive covenants as they relate to employment
• Establish and maintain key stakeholder relationships with regular, effective and timely communications concerning deal negotiation and business strategy
• Contribute to relevant internal and departmental process development and management, as well as deal‑making resources

Requirements

• J.D. with strong academic performance and membership in good standing with bar license.
• Experience drafting all or most of the following: Board and Shareholder Resolutions for fundraising or remediation efforts; convertible notes; Operating Agreements; amended and restated articles; Employee Incentive or Synthetic Incentive Plans and Grants.
• Experience with intellectual property rights and exploitation, risk mitigation, contract drafting. corporate governance, financing, indemnification, restructuring, & fund raising.
• Expertise with respect to corporate formation and start‑up activities, contract review, negotiations, and intellectual property law.
