Chief Administrative Officer (CAO) | Administrative & Operational Management, HR Policies

Moses Singer is seeking a Corporate associate with 3 – 5 years of experience for our New York office. This position requires experience within the following areas: mergers and acquisitions (private and preferably also public transactions, including those involving private equity buyers), financings (including venture capital and other private and public financings), transactional related securities compliance, and broad based commercial and corporate experience. Must possess excellent writing and analytical skills and have demonstrated leadership running transactions. A Juris Doctor degree from an ABA accredited law school and NY Bar admission is required.

  • M&A: drafting, reviewing, and negotiating merger agreements, stock purchase agreements, asset purchase agreements, letters of intent and related agreements.
  • General Corporate: LLC and corporation formation, organizational minutes and consents, draft certificates of incorporation, bylaws, and board and stockholder resolutions/consents for a variety of corporate actions. General drafting of commercial contracts.
  • Financing: preparing documents for financing transactions including venture capital and other equity transactions, and related securities law analysis.
  • Equity Holder Agreements: drafting, reviewing, analyzing equity holder agreements including limited liability company operating agreements, partnership agreements, shareholder agreements, joint venture agreements, etc.
  • Due Diligence: coordinate, conduct and manage due diligence reviews, including overseeing junior associate work.
  • Securities: knowledge of and experience with federal and state securities laws, with a focus on private and public transactions such as initial public offerings, secondary offerings, PIPEs, private placements under Regulation D, M&A transactions involving Form S-4, proxy solicitations, etc. Candidate should have knowledge of reporting obligations and filings under the Securities Exchange Act of 1934 (including Form 10-Ks, 10-Qs, Section 16 filings and proxy statements), and experience with filings and issues arising under the Securities Act of 1933.

The ideal candidate will have broad experience in all or most of the above areas.

The anticipated compensation range for this position is $180,000 - $225,000. The salary offered to a successful candidate will be dependent on several factors, including, but not limited to, job experience, familiarity with and experience in the legal industry, skillset and other requirements as set forth on the job description. In addition to the salary indicated in the above range, the firm offers benefits, where applicable, including health, life, or other employer‑provided insurance; paid or unpaid time off; contributions toward retirement or savings funds, such as 401(k) plans; bonuses, etc.
