Job summary

The Firm, a leading national full-service law firm in the US, seeks a Corporate Associate with 4-7 years of M&A and corporate transaction experience to join one of its offices in CO, OH, TN, or PA. The role offers exposure to high-profile transactions and a collaborative, mentorship-rich culture across a national platform.

You will lead buy- and sell-side deals, perform due diligence, draft and negotiate key documents, and advise clients with strategic, commercially grounded guidance.

Qualifications

  • 4-7 years of experience in M&A and general corporate transactions.
  • Experience representing clients on buy-side and sell-side matters.
  • Strong academic credentials and excellent written and verbal communication skills.
  • Bar admission in the state of residence, or eligibility to waive into the bar in the short term.

Responsibilities

  • Advising a diverse client base on a broad range of M&A and corporate transactions.
  • Leading and supporting buy-side and sell-side transactions, including due diligence and drafting/negotiating transaction documents.
  • Working closely with clients, partners, and cross-functional teams to deliver strategic legal advice.
  • Structuring, reviewing, and negotiating corporate agreements and governance documents.
  • Managing transaction timelines and ensuring successful deal execution.

What the role looks like day-to-day
  • Advising a diverse client base on a broad range of M&A and corporate transactions
  • Leading and supporting buy-side and sell-side transactions, including conducting due diligence, drafting and negotiating transaction documents, and managing deal processes
  • Working closely with clients, partners and cross-functional teams to deliver strategic, commercially focused legal advice
  • Structuring, reviewing and negotiating corporate agreements, governance documents and other complex commercial arrangements
  • Managing transaction timelines, coordinating with specialists across practice areas and ensuring successful deal execution
  • Conducting legal research and providing practical solutions to clients on corporate and transactional matters
  • Building and maintaining strong client relationships through responsive, high-quality service
  • Collaborating with colleagues across the firm's national platform on sophisticated and high-profile matters
  • Mentoring junior lawyers and contributing to a supportive, team-oriented culture
  • Participating in business development, professional networking, pro bono initiatives and community engagement opportunities to further your practice and professional growth
About you

You will have:

  • 4-7 years of experience in M&A and general corporate transactions
  • Experience representing clients on both buy-side and sell-side matters
  • Strong academic credentials and excellent written and verbal communication skills
  • Bar admission in the state in which you reside, or eligibility to waive into the bar in the short-term
