Job summary

Confidential Employer in Denver seeks a corporate associate with significant M&A experience to advise on mergers, acquisitions, divestitures, and other sophisticated transactions. The role offers leadership opportunities in a high-caliber, entrepreneurial environment with mentorship and client contact.

You will draft and negotiate key agreements, manage transaction aspects from structuring through closing, and collaborate with partners, clients, and counsel across industries.

Qualifications

  • J.D. from an accredited law school.
  • 3+ years of directly relevant M&A experience as a corporate associate.
  • Significant experience handling M&A transactions from a law firm environment.
  • Recent experience at a mid-size or large law firm with 50+ employees.
  • Active U.S. bar license; Colorado license preferred.
  • Strong academic credentials and excellent written and verbal communication skills.

Responsibilities

  • Advise clients on mergers, acquisitions, divestitures, joint ventures, and other sophisticated corporate transactions.
  • Draft and negotiate purchase agreements, merger agreements, transaction documents, and related corporate agreements.
  • Manage key aspects of transactions and play a meaningful role from initial structuring through closing.
  • Provide ongoing general corporate counseling and strategic legal guidance to clients.
  • Work closely with partners, clients, opposing counsel, and other advisors to move transactions forward efficiently.
  • Conduct due diligence, identify and assess legal and business risks, and develop practical solutions.
  • Support clients across a range of industries, with opportunities for exposure to energy, private equity, hospitality, technology, and other dynamic sectors.
  • Contribute to a growing Transactions practice while developing strong client relationships and business-development skills.

Location

Note:

Candidates must have significant M&A experience as a corporate associate in a mid-size to large law firm, with recent experience at a firm of 50+ employees. A current bar license is required; Colorado licensure is preferred, but attorneys licensed in another U.S. jurisdiction will also be considered.
