Job summary

An AmLaw top 100 firm in Boston is seeking a Corporate Associate to join the team and contribute to a growing corporate and transactional practice. The role offers exposure to middle-market M&A, commercial finance, and debt/equity capital markets with meaningful client contact.

You will work closely with seasoned lawyers to manage multi-transaction workstreams, while developing commercial judgment and advisory skills in a collaborative, innovative environment.

Qualifications

  • Admitted to the Massachusetts Bar.
  • Experience in corporate transactions, commercial finance, and debt and equity capital markets.
  • Confident managing multiple transactions and competing priorities in a fast-paced environment.
  • Strong drafting, negotiation, and interpersonal skills.

Responsibilities

  • Manage transaction processes from inception through closing, drafting, reviewing, and negotiating documents.
  • Lead due diligence workstreams and coordinate specialist teams (employment, tax, real estate, regulatory).
  • Advise clients on governance, financing structures, and strategic business initiatives.
  • Support debt and equity financing transactions on lender- and borrower-side matters.
  • Maintain proactive client communications to drive deals forward with practical, commercial solutions.
  • Collaborate with entrepreneurial businesses, private equity sponsors, financial institutions, and corporates across industries.

In the first quarter of 2026, this firm's Boston office experienced exponential growth with the appointment of acclaimed senior corporate lawyers highlighting this firm's commitment to their continued growth in the corporate and transactional market. This firm's corporate group has amassed a strong reputation for advising middle-market M&A, sales and Leveraged buyouts due to their responsiveness and commerciality. Mid-level associates working within this firm are given meaningful client contact and opportunities to take ownership of key aspects of transactions, allowing them to develop commercial judgment and relationship-building skills earlier than they might in a more traditional, highly layered US firm structure. Collaboration is at the heart of this firm's values with corporate attorneys working alongside other practice areas in the firm in order to mitigate transactional risks and provide a holistic service for their clients. This firm also heavily leverages legal technology, data analytics, AI, and process management tools to streamline transaction management, due diligence, and post-merger integration.

What the role looks like day-to-day
  • Managing transaction processes from inception through closing, including drafting, reviewing, and negotiating transaction documents.
  • Leading due diligence workstreams and coordinating specialist teams across employment, tax, real estate, regulatory, and other practice areas.
  • Advising clients on corporate governance, financing structures, and strategic business initiatives.
  • Supporting debt and equity financing transactions, including lender-side and borrower-side matters.
  • Taking an active role in client communications, helping to drive deals forward and providing practical, commercial solutions to complex legal issues.
  • Working directly with entrepreneurial businesses, private equity sponsors, financial institutions, and established corporates across a range of industries.
