The ideal candidate will handle mergers and acquisitions and private equity transactions, draft and negotiate complex transaction documents, and support deal teams from due diligence to closing. Admission to the NY Bar is required.

Responsibilities

  • Represent buyers, sellers, and sponsors in M&A and private equity transactions.
  • Draft, review, and negotiate primary transaction documents (P&S, merger agreements, disclosure schedules, reps & warranties).
  • Manage transaction workstreams from due diligence through closing.
  • Prepare due diligence memoranda and issue lists.
  • Advise on legal, regulatory, and business considerations of transactions.
  • Coordinate with cross‑practice teams (antitrust, environmental, real estate, tax, data privacy, IP).
  • Review and edit opinions, correspondence, and other work product.

Corporate and Securities Associate Attorney

Direct Counsel is seeking a Corporate and Securities Associate Attorney with at least 2 years of experience to join a leading global law firm and its sophisticated Corporate and Securities practice.

Position Overview

The ideal candidate will have substantial experience handling mergers and acquisitions and private equity transactions, with hands‑on experience drafting and negotiating complex transaction documents. This role offers the opportunity to serve as a key member of deal teams, advising buyers, sellers, and financial sponsors on sophisticated domestic and international transactions from due diligence through closing.


Responsibilities


  • Represent buyers, sellers, financial sponsors, and other clients in sophisticated mergers and acquisitions and private equity transactions.


  • Draft, review, and negotiate primary transaction documents, including:



    • Purchase and sale agreements

    • Merger agreements

    • Disclosure schedules

    • Representations and warranties

    • LLC agreements

    • Stockholder agreements

    • Management equity incentive programs


  • Manage key transaction workstreams from due diligence through closing.


  • Prepare due diligence memoranda, issues lists, and other transaction analyses.


  • Advise clients on legal, regulatory, and business considerations affecting mergers and acquisitions and other complex corporate transactions.


  • Conduct legal research and develop strategic recommendations regarding deal structures and processes.


  • Participate in negotiations with opposing counsel and advise partners and senior attorneys on significant deal issues.


  • Coordinate with attorneys in specialized areas including antitrust, environmental, real estate, tax, data privacy, and intellectual property.


  • Review corporate formation, organization, and transaction documents prepared by junior attorneys.


  • Review and edit legal opinions, correspondence, reports, and other work product.


  • Support pro bono matters and participate in firm activities and committees as appropriate.



Qualifications


  • At least 2 years of experience providing legal analysis and strategic advice regarding mergers and acquisitions, complex corporate transactions, and related deal processes.

  • At least 2 years of experience drafting and reviewing primary mergers and acquisitions documents and ancillary transaction agreements.

  • Experience participating in negotiations and communicating with opposing counsel regarding major deal issues.

  • Experience coordinating with multidisciplinary teams and subject‑matter attorneys on regulatory and compliance matters.

  • Experience leading key transaction workstreams, including due diligence and closing processes.

  • Strong understanding of corporate transaction structures and deal processes.

  • Experience reviewing and mentoring on work product prepared by junior associates preferred.

  • Familiarity with legal workflow and research technologies, including iManage and Intelligize.

  • Experience with legal artificial intelligence tools such as Legora or Kira preferred.

  • Excellent analytical, drafting, negotiation, and communication skills.

  • Strong attention to detail and ability to manage multiple matters in a fast‑paced environment.

  • J.D. from an accredited U.S. law school.

  • Admission to the New York Bar required.


Compensation

The anticipated salary for this position is $390,000 annually, plus comprehensive benefits.


Work Environment

This position is eligible for up to 40% remote work.


Travel

Up to 10% domestic travel may be required for meetings and conferences.
