Job Overview

A law firm seeks a highly motivated mid-level Corporate Securities Associate with a solid background in securities matters and/or lending work in New York. The ideal candidate will enjoy a broad-based corporate practice and have at least five years of law firm experience.

Duties
  • Provide expert legal advice on mergers and acquisitions, private securities offerings, and corporate governance.
  • Draft and negotiate complex transactional documents, including purchase and shareholder agreements.
  • Conduct due diligence investigations and prepare comprehensive reports.
  • Manage and oversee junior associates and paralegals on transactions.
  • Collaborate with cross-functional teams for seamless deal execution.
  • Stay updated on legal developments to provide strategic advice.
  • Represent clients in negotiations and dispute resolution processes.
  • Public securities and stock exchange compliance, including 34 Act and 33 Act, is a plus.
Requirements
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Minimum of five years of law firm experience in mergers and acquisitions.
  • Strong knowledge of corporate law, securities regulations, and governance principles.
  • Excellent drafting and negotiation skills with attention to detail.
  • Proven ability to manage multiple complex projects simultaneously.
  • Exceptional analytical and problem‑solving abilities.
  • Excellent interpersonal and communication skills.
  • Ability to work independently and collaboratively in a fast‑paced environment.
  • Bar admission required in the attorney's resident and/or affiliated office.
Education
