Job summary

Trinity Life Sciences seeks a Counsel to provide comprehensive legal support across the life sciences domain, including contracts, compliance, acquisitions, data processing, and IP. The role requires deep regulatory knowledge and the ability to work in a high-volume, fast-paced environment while collaborating with Compliance, HR, and IT teams.

Key duties include drafting and negotiating contracts, assessing risk under healthcare and privacy laws (HIPAA, GDPR, CCPA, etc.), supporting M&A

Qualifications

• Juris Doctor (J.D.) degree from an accredited law school and a minimum of 5+ years with life sciences/pharma experience.
• Experience with regulatory compliance, intellectual property, and contract law is essential.
• Significant redlining and contract review and negotiation experience required.

Responsibilities

• Draft, review, and redline a wide variety of contracts and supporting documents (e.g., master services agreements, vendor agreements, statements of work, NDAs).
• Engage in direct negotiations with Trinity's clients and vendors.
• Review and evaluate risks under US and international privacy regulations (GDPR, etc.).
• Perform legal review of contractual agreements with minimal oversight.
• Support acquisitions and integration activities.
• Provide prompt legal guidance to Trinity leadership.
• Review RFP/RFI questionnaires and vendor forms.
• Answer questions on current agreements’ terms.
• Collaborate with Compliance, HR, and IT.
• Perform administrative tasks such as signing documents and electronic filing.

Job description

The Counsel will provide comprehensive legal support and guidance on a wide range of issues related to the life sciences industry, including but not limited to contracts, compliance, acquisitions, data processing and intellectual property. This role requires a deep understanding of the legal and regulatory landscape affecting life sciences companies, work efficiently in a high-volume, high-pressure environment, and collaborate effectively with different departments within the organization.

Key Responsibilities:

• Draft, review, and redline a wide variety of contracts and supporting documentation, including master services agreements, vendor agreements, statements of work, fee- for-service agreements, contractor agreements, non-disclosure agreements, third party data access agreements, licensing agreements, partnership agreements, etc.
• Engage in direct negotiations and discussions with Trinity's clients and vendors.
• Review and evaluate risks associated with various US and OUS privacy regulations (e.g., GDPR compliance)
• Ability to conduct legal review of various contractual agreements with minimal oversight.
• Assist in acquisition support/integration.
• Provide prompt legal support and guidance to Trinity leadership and management teams.
• Review and complete RFP/RFI questionnaires and Vendor forms.
• Answer questions regarding current agreements' terms and conditions.
• Collaborate with various internal business partners including Compliance, HR, and IT.
• Perform administrative tasks on an as needed basis, such as signing documents and electronic filing.

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school and a minimum of 5+ years with a preference given to life sciences/pharma industry experience. Experience with regulatory compliance, intellectual property, and contract law is essential.
• Significant redlining and contract review and negotiation experience required.
• Knowledge of applicable healthcare, compliance, and privacy laws, rules, and regulations (Sunshine Act, Anti-Kickback Statue, pharmacovigilance requirements, HIPAA, GDPR, CCPA, CPRA, etc.).
• Must be detail oriented and demonstrate excellent organizational skills.
• Strong sense of ownership and responsibility, and a strong work ethic focused on providing excellent customer service.
• Ability to work independently and as part of a team in a fast-paced, high-pressure environment.
• Strong analytical and problem-solving abilities.

Trinity's salary bands account for a wide range of factors that are considered in making compensation decisions including but not limited to skill sets and market demand for skills; level of experience and training; specific qualifications, performance, time in role/company, geographic location, and other business and organizational needs. A reasonable estimate of the current salary range $84,000 - $126,000 . In addition to your base salary, you will also be eligible for an annual discretionary performance bonus.
