Qualifications

• 5+ years owning commercial contract negotiations in engineering, utility, or professional services environments.
• Experience negotiating indemnification, limitation of liability, and flow-down obligations.
• Ability to manage multiple active negotiations with minimal supervision.
• AI-native mindset to accelerate review, standardize outputs, and automate repeatable tasks.
• Proficiency with Microsoft 365 (Teams, SharePoint, Outlook) for workflow support.

Responsibilities

• Lead review and negotiation of MSAs, Consulting Agreements, Work Orders, SOWs, and NDAs with enterprise clients and subcontractors.
• Negotiate commercial and risk terms directly or with the PS relationship owner within the Delegation of Authority.
• Draft and redline agreements using standard templates and fallback positions.
• Coordinate outside counsel on high-impact issues and abstracts of key obligations for agreements over $1M.
• Review software terms and report renewal, cancellation, and data ownership terms to the Contract Owner.
• Own the contract lifecycle from intake through execution and post-signature administration.
• Maintain contract governance and obligation tracking in the Legal Tracker and SharePoint.
• Translate contractual obligations into operational requirements for internal teams.
• Design AI assisted workflows and maintain clause libraries and review frameworks.
