Qualifications

• J.D. from an ABA-accredited US law school and active bar admission in at least one state with ability to obtain Tennessee admission.
• Minimum 4 years of experience as a commercial, M&A/corporate, or finance lawyer at a top-tier law firm or in-house legal department.
• Renewable energy project finance experience (debt and tax equity) strongly preferred.
• Demonstrated ability to manage multiple deals concurrently with strong attention to detail and organizational skills.

Responsibilities

• Oversee general commercial and financing matters, including corporate and project finance, M&A, and commercial transactions, with due diligence, structuring, drafting, and negotiation responsibilities.
• Draft, negotiate, and administer key agreements such as power purchase agreements, REC purchase/sale agreements, asset and stock purchase agreements, and consulting/services agreements; support financing agreements including loan and tax equity agreements.
• Efficiently supervise outside counsel when engaged, with most work managed in-house by the candidate.
• Provide legal support to Business Development, Integrated Project Delivery, Accounting, and Project Finance teams to enable company growth.
