ZT Systems, a Sanmina Company, is seeking an experienced Commercial Counsel to join its Legal team during a pivotal period of transformation and growth. As the company integrates into a Fortune 500 public company environment, this role offers the opportunity to help build the commercial, governance, and operational frameworks that will support the next phase of ZT Systems' evolution.

The Commercial Counsel will advise on complex commercial matters, negotiate strategic transactions, and guide business leaders through challenging legal and operational issues. This position partners closely with Legal, Finance, Accounting, Sales, Business Planning, Operations, executive leadership, customers, and strategic partners. The role is central to supporting industry-leading customers building next-generation AI and cloud infrastructure, and operates at the intersection of technology, manufacturing, supply chain, finance, and commercial strategy.

Key responsibilities include negotiating and advising on a wide range of strategic customer and commercial transactions, supporting complex negotiations, and advising on governance, compliance, and control-related matters in a public company context. The Commercial Counsel will also help develop legal templates, contracting frameworks, and internal processes, while identifying and mitigating legal and business risks.

The ideal candidate holds a J.D. from an accredited law school, is admitted to at least one U.S. bar, and brings 10+ years of legal experience with significant commercial contracting and negotiation expertise. Experience in technology, hardware, manufacturing, cloud infrastructure, or related industries - especially within a public company governance environment is preferred. Strong business judgment, practical problem-solving skills, and the ability to manage multiple complex matters are essential.
