Commercial Counsel

Job summary

Jobtailor is seeking a seasoned Corporate Counsel in San Francisco to draft and negotiate enterprise customer agreements, data-licensing deals, vendor contracts, NDAs, and partnership agreements.

You will partner with sales and business development during active deals, advise on data rights, privacy, confidentiality, security, IP, indemnification, and limitations of liability, and collaborate with product and engineering on data-access and AI questions.

Qualifications

• 3-8 years of commercial, technology, or product counseling experience.
• Must be legally authorized to work in the United States
• Visa sponsorship is not currently available
• Membership in good standing in at least one U.S. state bar
• Experience negotiating real technology agreements directly with counterparties
• Ability to independently carry negotiations through signature
• Ability to identify matters requiring escalation
• Ability to provide actionable business advice and risk assessments
• Ability to work effectively with engineers and salespeople
• Heavy existing use of AI in legal practice
• Preferred: J.D. from a T14 law school or comparable academic credentials
• Preferred: prior experience at an Am Law 100 or comparably sophisticated firm
• Exposure to data licensing, privacy, IP, or data-access issues is a plus

Responsibilities

• Draft and negotiate enterprise customer agreements, data-licensing deals, vendor contracts, NDAs, and partnership agreements

• Build and maintain templates, playbooks, fallback positions, and approval thresholds
• Support compliance programs and company policies
• Identify and elevate matters requiring the General Counsel, senior counsel, or outside counsel
• Handle additional legal work as Firecrawl grows
• Report to the General Counsel and work alongside the Senior Commercial & Product Counsel
