Essenti Talent is partnered with a prominent AmLaw 50 law firm seeking a Commercial Mortgage-Backed Securities Associate Attorney to join its Global Finance group in multiple locations in the US. The ideal candidate will have a JD from a top-tier law school, active bar admission, and 3–6 years of CMBS securitization experience.

Key responsibilities include leading document drafting and negotiation, structuring deals, and ensuring regulatory compliance.

Qualifications

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in relevant jurisdiction, in good standing.
• 3–6 years of substantive experience in securitization and structured finance, specifically CMBS.
• Experience drafting and negotiating complex securitization documents.
• Familiarity with CRE repurchase facilities and warehouse lending.
• Large law firm experience strongly preferred.

Responsabilités

• Provide counsel on a variety of CMBS transactions, including CRE CLOs, for issuers, underwriters, and investors.
• Lead the preparation and negotiation of transaction documents (e.g., bid letters, confidentiality agreements, securitization disclosures, and operative agreements).
• Actively participate in deal structuring, due diligence, execution, and post-closing matters.
• Ensure compliance with applicable regulatory and industry standards.
• Collaborate with Global Finance team to deliver premier client service.
