Our client, a leading AmLaw 50 law firm, seeks a Commercial Mortgage-Backed Securities Associate Attorney to join the Global Finance group in New York, Boston, Charlotte, or Philadelphia. The role centers on CMBS transactions, drafting and negotiating securitization documents, and close collaboration with issuers, underwriters, and investors.

Qualifications

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in relevant jurisdiction, in good standing.
• 3–6 years of substantive experience in securitization and structured finance, specifically CMBS.
• Experience drafting and negotiating complex securitization documents (e.g., pooling and servicing agreements, mortgage loan purchase agreements, investor certifications).
• Familiarity with commercial real estate repurchase facilities and warehouse lending.

Responsibilities

• Counsel on CMBS transactions, including CRE CLOs, for issuers, underwriters, and investors.
• Lead the preparation and negotiation of transaction documents (bid letters, confidentiality agreements, securitization disclosures, operative agreements).
• Participate in deal structuring, due diligence, transaction execution, and post-closing matters.
• Ensure regulatory and industry compliance.
• Collaborate across the Global Finance group to deliver premier client service.
