AmLaw 50 law firm is seeking a Commercial Mortgage-Backed Securities Associate Attorney to join its Global Finance group. The role focuses on CMBS transactions and sophisticated securitization work for issuers, underwriters, and investors in a high-profile environment.

The candidate will draft and negotiate complex securitization documents, manage due diligence, and lead deals through closing while ensuring regulatory compliance and leveraging the firm’s extensive resources.

Qualifications

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in relevant jurisdiction, in good standing.
• 3–6 years of substantive experience in securitization and structured finance, specifically within the CMBS space.
• Proven drafting/negotiation experience with securitization documents (pools, mortgage loan purchase agreements, bid letters, investor certifications).

Responsibilities

• Provide counsel on CMBS transactions, including CRE CLOs, for issuers, underwriters, and investors.
• Lead preparation and negotiation of transaction documents (bid letters, confidentiality agreements, securitization disclosures, operative agreements).
• Assist with deal structuring, due diligence, transaction execution, and post-closing matters.
• Ensure compliance with regulatory and industry standards.
• Collaborate with Global Finance team to deliver premier client service.
