Our client, a prominent global AmLaw 50 law firm, seeks a Commercial Mortgage-Backed Securities Associate Attorney to join its Global Finance group. The role focuses on CMBS transactions, CRE CLOs, and drafting complex securitization documents.

Ideal candidates have 3–6 years in securitization, strong drafting skills, and large-firm experience. You will counsel issuers, underwriters, and investors, lead deal closure, and ensure regulatory compliance in a collaborative environment.

Qualifications

• JD from a top-tier law school with strong academics.
• Active Bar Admission in relevant jurisdiction, in good standing.
• 3–6 years of substantive CMBS securitization/structured finance experience.
• Experience drafting and negotiating complex securitization documents.
• Familiarity with CRE repurchase facilities and warehouse lending.
• Large law firm experience strongly preferred.

Responsabilités

• Provide counsel on CMBS transactions, including CRE CLOs, for issuers, underwriters, and investors.
• Lead the preparation and negotiation of transaction documents, including bid letters and operative agreements.
• Actively participate in deal structuring, due diligence, execution, and post-closing matters.
• Ensure compliance with applicable regulatory and industry standards.
• Collaborate with Global Finance team to deliver premier client service.
