Our client, a prominent AmLaw 50 law firm, seeks a Commercial Mortgage-Backed Securities Associate Attorney to join its Global Finance group in a high-profile practice. You will handle CMBS issuances, CLOs, and related securitization work, collaborating with issuers, underwriters, and investors.

Ideal candidates have a JD from a top-tier law school, active bar status, 3–6 years in CMBS securitization, and experience drafting complex securitization documents.

Qualifications

• J.D. from a top-tier law school with strong academic record.
• Active Bar Admission in a relevant jurisdiction, in good standing.
• 3–6 years of substantive CMBS securitization and structured finance experience.
• Experience drafting and negotiating complex securitization documents.
• Familiarity with CRE repurchase facilities and warehouse lending.
• Demonstrated ability to lead due diligence and close deals, large law firm experience preferred.

Responsibilities

• Counsel on CMBS transactions and CRE CLOs for issuers, underwriters, and investors.
• Lead preparation and negotiation of transaction documents and disclosures.
• Assist with deal structuring, due diligence, execution, and post-closing matters.
• Ensure regulatory and industry standards compliance.
• Collaborate across the Global Finance group to deliver premier client service.
