A prominent global AmLaw 50 law firm seeks a Commercial Mortgage-Backed Securities (CMBS) Associate Attorney to join its Global Finance group and work on leading CMBS transactions. The role requires handling securitization documents and collaborating on CRE CLOs with issuers, underwriters, and investors.

The ideal candidate has 3–6 years in securitization and structured finance, with strong drafting skills and large-firm exposure. Bar admission in a relevant jurisdiction is essential.

Qualifications

• JD from a top-tier law school with a strong academic record.
• Active Bar Admission in relevant jurisdiction, in good standing.
• 3–6 years of substantive CMBS securitization and structured finance experience.
• Experience drafting and negotiating complex securitization documents.
• Familiarity with CRE repurchase facilities and warehouse lending.
• Demonstrated ability to act as a key team member in transactions, managing due diligence and leading deals through closing.
• Large law firm experience strongly preferred.

Responsibilities

• Counsel on CMBS transactions including CRE CLOs for issuers, underwriters, and investors.
• Lead drafting and negotiation of transaction documents.
• Assist with deal structuring, due diligence, execution, and post-closing matters.
• Ensure regulatory and industry compliance.
• Collaborate across Global Finance group to deliver premier service.
