MGT Insurance is seeking a Head of Legal to build and lead the legal function for our AI-native commercial P&C carrier. You will advise the executive team and board on regulatory strategy, corporate matters, and major transactions while establishing policies and governance from the ground up.

You will also drive multi-state regulatory compliance, draft and negotiate critical agreements, and lead a growing, AI-enabled legal team as the company scales.

Qualifications

• J.D. and active bar membership in at least one U.S. state.
• 10+ years of legal experience with significant exposure to P&C insurance.
• Track record advising executive teams and boards on legal risk and strategic decisions.
• Experience managing outside counsel relationships across multiple practice areas.
• Comfortable operating a build-from-scratch legal function establishing process and governance.

Responsabilités

• Serve as MGT's senior-most legal advisor; counsel the CEO, executive team, and board on legal risk, regulatory strategy, and major business decisions.
• Own MGT's regulatory compliance program: state insurance department relationships, licensing, market conduct, rate and form filings, and multi-state compliance requirements.
• Advise on litigation strategies and review external counsels’ recommendations when needed.
• Structure and negotiate legal agreements supporting corporate development activity such as partnerships, reinsurance contracts, carrier agreements, MGA arrangements, and M&A transactions.
• Manage outside counsel relationships across litigation, regulatory, and transactional matters by selecting, directing, and controlling cost and quality.
• Build out corporate governance infrastructure: corporate records, entity management, and policies for a regulated insurance carrier.
• Advise Product and Underwriting on legal and regulatory implications of new products, states, and appetite expansions before launch.
• Own contract review and management including vendor agreements, technology contracts and data/privacy agreements.
• Build and lead a small AI-enabled legal and compliance team as the company scales.
