Job summary

Cooley LLP in San Diego, CA seeks a licensed attorney with 5+ years' Capital Markets experience advising issuers and investment banks on governance and SEC reporting. You will help develop client alerts, white papers, and internal resources for the Capital Markets group, while coordinating events and materials with Marketing.

You will also maintain archives, update forms, and support RFP responses, cross‑functional training, and technology adoption to improve efficiency across the practice.

Qualifications

• Licensed attorney with a minimum of 5 years of experience representing issuers and investment banks in capital markets transactions.

Responsibilities

• Keep current on legal and regulatory developments relevant to the Capital Markets practice group.
• Develop topics for and assist in the preparation and maintenance of client alerts, white papers and external-facing tools and resources.
• Develop and maintain internal practice resources to enhance exchange of know-how within the Capital Markets group and facilitate client interaction.
• Create, maintain and update archives of work product and know-how within the Capital Markets practice group.
• Assist with coordination of speaking engagements, webinars and materials.
• Maintain and update forms reflecting current legal developments and inputs from attorneys within the group.
• Collaborate with Marketing to formulate and execute Capital Markets branding and presence.
• Provide information to assist responses to RFPs and other business development opportunities.
• Coordinate with Professional Development to ensure skills training across the practice group.
• Coordinate with Information Services and Practice Innovation to test and adopt new technologies for efficiency.

One of the ways that we provide such support is by augmenting selected practice groups with a resource attorney whose overarching responsibility is to enhance our marketing and business development efforts, strengthen the creation and sharing of substantive know‑how, and enable our practicing attorneys to be more informed, efficient and successful. This attorney will not work directly for firm clients and therefore will not bill time.

Position Responsibilities

Among the tasks for which the Capital Markets resource attorney will be responsible are:

• Keeping current on all legal and regulatory developments relevant to the Capital Markets practice group
• Developing topics for and assisting in the preparation and maintenance of client alerts, white papers and external‑facing tools and resources
• Developing and maintaining internal practice resources that will enhance the exchange of know‑how within the Capital Markets practice group and facilitate interaction with clients and prospective clients
• Creating, maintaining and updating archives of work product and know‑how within the Capital Markets practice group
• Assisting with coordination of speaking arrangements, webinars and materials
• Maintaining and updating forms and templates as appropriate for the Capital Markets practice group, and ensuring forms reflect current legal developments, industry‑accepted terms and input from attorneys within the practice group
• Working with our Marketing department to formulate and execute on our Capital Markets branding and presence
• Collecting and providing information to the Marketing department to assist that team with responses to RFPs and other opportunities for business development
• Coordinating with Professional Development to ensure and enhance the skills development of members of the Capital Markets practice group and firmwide training
• Coordinating with Information Services and Practice Innovation to assess available technologies and to develop, test and support adoption of new solutions that can be used to leverage efficiencies within the practice group, as well as the delivery of services by the Capital Markets practice group

Skills & Experience

The Capital Markets resource attorney must be a licensed attorney with a minimum of 5 years of experience in the practice of representing issuers and investment banks in capital markets transactions, as well as a strong understanding of corporate governance and SEC reporting requirements and related matters.

The expected annual pay range for this position is $220,000 - $315,000. Please note that final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.
