Qualifications

• Bachelor's degree required; paralegal certification preferred.
• Minimum of 10 years supporting public company governance, securities compliance, or related legal functions.
• Experience supporting Board of Directors and committee activities for a publicly traded company.
• Familiarity with SEC reporting and governance requirements.

Responsibilities

• Coordinate SEC reporting and public company compliance activities.
• Lead Board and committee governance, agendas, materials, and documentation.
• Administer executive compensation programs and equity administration.
• Support sustainability reporting and ESG disclosures.
• Identify opportunities to improve governance processes using technology and automation.
• Maintain corporate records, governance documentation, and SOX controls.
• Collaborate with senior leadership, the Board, and outside counsel.
