Qualifications

• Knowledge of board level corporate support and record keeping requirements.
• Knowledge of SEC and NYSE reporting requirements.
• Proficiency with Microsoft Office and electronic board portal.

Responsibilities

• Provide governance support to Board of Directors and Board Committees in regulatory and fiduciary duties—planning meetings, agendas, minutes, and logistics.
• Prepare and file required SEC disclosures for directors/officers; manage Edgar accounts and records; conduct research and provide guidance.
• Prepare due diligence materials for transactions and provide support for audits, examinations, and redaction of materials as needed.
• Manage Insider Trading policy and pre-clearance processes; guide, process, and maintain records.
