Job summary

Ambler Metals is seeking a Board Compliance Officer to support effective governance, board administration, regulatory compliance, and records management in Anchorage, Alaska. This role ensures filings, minutes, resolutions, and governance documents are accurate and up to date while coordinating with directors, officers, and external parties.

You will oversee compliance under the relevant agreements, coordinate governance calendars, and maintain confidential records with sound judgement.

Qualifications

• Bachelor's degree in business administration, law, governance, corporate administration or a related discipline.
• 5+ years of progressively responsible governance, company secretarial, or executive support experience.
• Experience supporting Boards, committees, governance processes, and corporate records.

Responsibilities

• Coordinate Board and committee meeting schedules, agendas, papers, minutes, resolutions and action items.
• Maintain statutory registers, minute books, corporate records and governance documentation.
• Support directors and officers with timely information and governance guidance.
• Prepare corporate approvals, written resolutions, consents and related documentation.
• Assist with annual filings, corporate registry requirements and compliance calendars.
• Liaise with external counsel, auditors, regulators and registry service providers as required.
• Support governance policies and document retention practices.
• Manage confidential Board and corporate information with discretion.
• Provide administrative support for shareholder matters, corporate transactions and governance projects.
• Maintain a governance calendar for required filings and Board cycle deliverables.
• Track Board actions and coordinate follow-up with owners.
• Assist with due diligence requests and governance reporting as needed.
• Oversee compliance tracking and reporting under Agreements with regulators and stakeholders.
