Job summary

Fortune 500 company outside Atlanta seeks an Assistant General Counsel – Corporate to join its corporate legal team. The candidate will handle SEC reporting, corporate governance, securities matters, and strategic transactions under senior leadership.

3–5 years of corporate/securities experience and a J.D. with active bar license (GA preferred) are required, with opportunities to engage in high-exposure in-house work involving AI-enabled legal operations.

Qualifications

• 3–5 years of experience at a nationally recognized law firm or within the legal department of a public company
• Experience with U.S. securities laws, SEC reporting, corporate governance and general corporate matters
• Strong understanding of the Securities Exchange Act of 1934
• Experience with proxy statements and Section 16 reporting strongly preferred
• J.D. from an ABA-accredited law school and an active bar license; Georgia preferred
• Strong business judgment, communication skills and the ability to work independently
• Interest in leveraging AI and emerging technology to improve legal operations and business outcomes

Responsibilities

• SEC reporting and filings, including 10-Ks, 10-Qs, 8-Ks and proxy statements
• Securities law compliance, including Section 16 and beneficial ownership reporting
• Corporate governance, board and committee matters, and governance policies
• NYSE compliance and public company requirements
• Debt financings, credit facilities and other financing transactions
• Domestic and international subsidiary management and governance
• M&A, divestitures and other strategic transactions
• Corporate agreements, intercompany matters and special projects
• Practical legal advice to executives and internal business partners

Our Client, A Fortune 500 company behind some of the most recognized and respected brands in the flooring industry is hiring an Assistant General Counsel – Corporate to join their corporate legal team based just outside of Atlanta. With a broad portfolio of leading residential and commercial brands and a global presence, this is an opportunity to join a sophisticated public company with a significant legal operation.

This is an excellent opportunity for a 3–5 year corporate/securities attorney to make the move in-house and take on a challenging role with opportunity for advancement. Reporting to the Deputy General Counsel – Corporate, the attorney will work closely with senior executives and business leaders and will have exposure to a broad range of public company, securities, governance and general corporate matters, including:

• SEC reporting and filings, including 10-Ks, 10-Qs, 8-Ks and proxy statements
• Securities law compliance, including Section 16 and beneficial ownership reporting
• Corporate governance, board and committee matters, and governance policies
• NYSE compliance and public company requirements
• Debt financings, credit facilities and other financing transactions
• Domestic and international subsidiary management and governance
• M&A, divestitures and other strategic transactions

Compensation Range: $190,000 - $210,000
