Qualifications

  • JD from an accredited U.S. law school and admitted to practice in at least one U.S. jurisdiction.
  • 5+ years of legal experience, including substantial in-house experience.
  • 3+ years of in-house experience at a publicly traded company with SEC reporting, securities compliance, public disclosures, and corporate governance.
  • 2+ years of experience with 10-Ks, 10-Qs, 8-Ks, proxy matters, Section 16, and other securities requirements.
  • 3+ years working directly with a Board, CEO, CFO, and executive leadership team.
  • 2+ years of commercial contracting experience, preferably SaaS/AI/tech/data-driven businesses.
  • Strong business judgment, communication, and negotiation skills.

Responsibilities

  • Lead SEC reporting, securities compliance, public disclosures, and Board governance (10-Ks, 10-Qs, 8-Ks, proxy matters, Section 16).

  • Advise on privacy, data protection, AI regulations, intellectual property, employment, and other legal matters.
  • Support M&A transactions and post-acquisition integration.
  • Collaborate with Finance, Sales, HR, Product, Engineering to provide practical legal advice.
  • Manage outside counsel and build lean, efficient legal processes and templates.

As AI continues to reshape technology and human interaction, and legal plays a critical role in navigating evolving regulatory frameworks, we are seeking a hands-on In-House Counsel to lead the company’s U.S. legal function, advise senior leadership and the Board, and support responsible business expansion across jurisdictions.

The role:

We are seeking a hands-on, strategic In-House Counsel to own the company’s U.S. legal function while collaborating closely with international teams. This role combines public-company legal matters, corporate governance, securities and SEC compliance, commercial contracts, and broader legal and regulatory matters.

This role requires significant experience working within a publicly traded company, including hands-on experience with SEC reporting, securities compliance, public disclosures, and Board governance. You will work closely with the CEO, CFO, Board, and executive leadership team, providing practical, business-oriented legal advice and helping the company navigate legal risk while supporting its growth objectives.

  • Strong business judgment, communication, and negotiation skills, with the ability to work independently, operate hands-on in a lean legal function, and determine when to involve outside counsel.
