Representing a publicly traded advanced materials company, we are proud to be leading the search for a Corporate Counsel, Securities & Capital Markets. Reporting to the General Counsel and Deputy General Counsel, this role is ideal for an attorney with a strong securities law foundation, built at a leading law firm and/or in-house, looking to take on a meaningful in-house role at a growing public company.
As the Corporate Counsel, Securities & Capital Markets, you will be responsible for:
SEC Reporting & Public Company Compliance
- Assist with the preparation, review, and coordination of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements.
- Support compliance with Securities Exchange Act reporting obligations and SEC regulations.
- Prepare and coordinate Section 16 filings, including Forms 3, 4 and 5.
- Assist with insider trading compliance, trading window administration, and Regulation FD matters.
- Support quarterly and annual reporting processes, including information collection and drafting efforts.
- Support preparation of earnings releases, investor presentations, and other public disclosures.
Capital Markets Transactions
- Assist with equity offerings, debt financings, ATM programs, private placements, and other capital markets activities.
- Support legal workstreams associated with securities offerings and financing transactions.
- Coordinate diligence, closing documentation, and transaction execution activities.
- Work with external counsel, bankers, auditors, and internal stakeholders during financing transactions.
Corporate Governance
- Assist with preparation of Board and committee materials, resolutions, agendas, and minutes.
- Assist with annual meeting and proxy season requirements.
- Maintain governance policies, corporate records, and compliance documentation.
- Help monitor governance developments and public company compliance requirements.
Compliance & Training
- Support insider trading programs and related employee training initiatives.
- Assist in monitoring developments in securities laws and public company governance requirements.
- Help maintain disclosure controls, corporate policies, and compliance procedures.
To be successful in this role our client is looking for a:
- J.D. from an accredited law school and active bar admission in at least one U.S. jurisdiction. Preference for Dallas based candidates with Texas bar admission.
- 3-6 years of securities and capital markets experience in a leading law firm and/or publicly traded company.
- Experience preparing or reviewing SEC filings and securities law disclosures.
- Familiarity with Exchange Act reporting requirements, Section 16 compliance, and corporate governance issues.
- Experience supporting registered offerings, private placements, or other financing transactions is preferred.
- Strong attention to detail, drafting skills, and project management capabilities.
