Job summary

Irving Knight Group seeks an Assistant General Counsel, Corporate to lead compliance and governance for a building products manufacturer in the Atlanta area. You will support SEC filings, financial reporting, and board materials, partnering with executives to advance strategic initiatives.

The role requires substantial experience in external/big-law environments, strong knowledge of U.S. securities laws, and a JD from an ABA-accredited school.

Job description

Title: Assistant General Counsel, Corporate - Building Products

Working Environment: Must be in commutable distance to Northern Atlanta Metro

Package: $220,000 - $275,000 +25% Bonus + RSUs

Responsibilities:

• Assistant General Counsel role for publicly-traded building product manufactuerer
• Serve as a key member of the corporate legal team and support the Company's public company reporting, corporate governance, securities law compliance, financing transactions, subsidiary management, and strategic corporate initiatives.
• Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Support Exchange Act and NYSE compliance, including Section 16 and beneficial ownership reporting.
• Prepare board and committee materials, resolutions, minutes, questionnaires, and governance documentation.
• Maintain corporate governance policies, committee charters, guidelines, and records.
• Support financing transactions, tax initiatives, intercompany agreements, and related compliance obligations.
• Draft and review corporate, financing, and transaction documents.
• Manage domestic and international subsidiary governance, entity maintenance, approvals, appointments, and records.
• Coordinate with internal and external counsel on local corporate compliance.
• Support mergers, acquisitions, divestitures, due diligence, regulatory approvals, integration, and transaction documentation.
• Conduct legal research and provide practical advice on corporate and governance matters.
• Assist with special projects as directed by the Deputy General Counsel or General Counsel.

Requirements:

• Must have experience in external/"big law" setting and capital markets experience because you will be responsible for SEC filings, corporate governance, board material creation.
• Experience with U.S. securities laws, SEC reporting, corporate governance, and corporate matters.
• J.D. from an ABA-accredited law school and active bar admission; Georgia preferred.
• Strong knowledge of the Securities Exchange Act, SEC reporting, proxy statements, and Section 16 filings.
• Practical, business-focused legal judgment and problem-solving skills.
• Ability to use AI and emerging technologies to improve legal operations and decision-making.
• Self-motivated, organized, detail-oriented, and able to manage competing priorities.
• Excellent communication and interpersonal skills, with the ability to work effectively with executives and cross-functional teams.
• Sound judgment, professionalism, integrity, and discretion when handling confidential information.
