Job summary

Pareto Solutions Group, Inc. is seeking an Associate Counsel to join its in-house legal team in Atlanta. The role focuses on acquisitions, leasing, financing, development, and transactional work across a national portfolio.

The ideal candidate will have strong transactional experience, excellent drafting and negotiation skills, and the ability to partner with business leaders to drive projects from acquisition through execution. This is a high-visibility, senior-level in-house opportunity.

Qualifications

  • J.D. from an accredited law school.
  • Active membership in the Georgia Bar or ability to obtain admission promptly.
  • 3–6 years of experience in commercial real estate, real estate finance, development, infrastructure, or transactional law.
  • Experience drafting and negotiating complex agreements.
  • Strong understanding of acquisitions, leasing, financing transactions, and due diligence processes.
  • Ability to work independently while managing multiple active matters.
  • Strong business judgment and practical problem-solving skills.

Responsibilities

  • Draft, review, and negotiate commercial real estate agreements, including purchase and sale agreements, leases, development agreements, and related transactional documents.
  • Support acquisitions, dispositions, leasing, financing, and development projects.
  • Assist with lender negotiations, financing transactions, due diligence requests, and closing activities.
  • Review and negotiate vendor, consultant, and service agreements.
  • Conduct legal due diligence, including title, survey, zoning, environmental, and property-related reviews.
  • Partner with internal business leaders to identify and mitigate transactional risk.
  • Coordinate with outside counsel, lenders, consultants, and other stakeholders.
  • Maintain transaction records and closing documentation.
  • Support legal process improvements, contract administration, and workflow efficiencies.

About the Opportunity

A rapidly growing real estate development and infrastructure platform is seeking an Associate Counsel to join its in-house legal team. This newly created role will work directly with General Counsel to support acquisitions, leasing, financing, development, and operational transactions across a national portfolio.

This position offers the opportunity to work directly with senior leadership and play a key role in complex real estate and development transactions. The ideal candidate will have strong transactional experience, excellent drafting and negotiation skills, and the ability to partner with business leaders to drive projects from acquisition through execution.

This is an excellent opportunity for an attorney looking to move into a highly visible in-house role with significant exposure to commercial real estate transactions, development projects, financing matters, and strategic initiatives.

Preferred Experience
  • Real estate finance and lender-side interactions.
  • Experience working in-house or supporting corporate clients in a transactional practice.
