Job summary

CornerStone Staffing, a trusted partner in the financial services sector, seeks an Associate Counsel to support corporate transactions, mergers and acquisitions, and various business-related legal matters.

The ideal candidate will have a JD and an active license with at least 3 years of relevant experience, including strong M&A and corporate transactional background, preferably in registered investment advisory or broker-dealer environments.

Qualifications

• JD and licensed attorney in good standing.
• 3+ years of relevant legal experience.
• Strong corporate transactional and M&A experience.
• Financial services industry experience required.
• Experience with RIAs, broker-dealers, or investment management firms preferred.
• Familiarity with securities regulations, including the Investment Advisers Act and FINRA rules.
• Excellent drafting, negotiation, and communication skills.

Responsibilities

• Support ongoing acquisitions and corporate transactions
• Draft, review, and negotiate commercial and transactional agreements
• Assist with legal due diligence, transaction documentation, and acquisition-related matters
• Support financial advisor and client transitions
• Collaborate with senior counsel, executives, and regulatory compliance teams
• Address legal and regulatory considerations involving investment advisory operations
• Coordinate with external legal counsel on transactions and other legal matters
