Job summary

SoftwareOne in Dallas, TX is seeking an Associate Corporate Counsel to support technology transactions, software licensing, and SaaS agreements. You will partner with Sales, Finance and cross-functional teams to review, draft, and negotiate commercial contracts.

Qualified candidates have a JD from an accredited school, an active license to practice in their state, and at least three years of post-licensure experience in commercial contracts.

Qualifications

• Juris Doctor (JD) from an accredited law school.
• Active license to practice law in the jurisdiction of residence.
• Minimum of 3 years of post-licensure legal experience.
• Experience reviewing, drafting, and negotiating commercial contracts and supporting technology companies.

Responsibilities

• Review, draft, negotiate, and manage commercial agreements including MSAs, software licensing, NDAs, SOWs, SaaS agreements, and vendor contracts.
• Serve as a trusted legal advisor to Sales and business stakeholders throughout the contract lifecycle.
• Identify legal and business risks and provide practical, solution-oriented recommendations.
• Maintain and update contract templates, playbooks, and legal processes.
• Ensure compliance with company policies and applicable laws (travel 10% required).
