Job summary

CTG seeks a General Counsel to provide strategic legal counsel to executive leadership and business stakeholders. You will serve as Corporate Secretary, attend Board meetings, and guide corporate governance, compliance, and risk management.

You will lead contract negotiations, advise on major transactions including acquisitions and financing, manage outside counsel, and ensure policies align with business objectives while protecting the company’s interests. Hybrid remote in Buffalo, NY.

Qualifications

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to a U.S. state bar and ability to maintain active licensure required.
• Extensive experience providing corporate and commercial legal counsel.

Responsibilities

• Provide strategic legal counsel to executive leadership and business stakeholders.
• Serve as Corporate Secretary and attend Board of Directors and committee meetings.
• Develop and maintain corporate policies, procedures, and programs while advising on their legal implications.
• Advise on major business transactions, including acquisitions, divestitures, joint ventures, financing, and corporate structure.
• Lead contract management activities, including drafting, reviewing, negotiating, and approving customer agreements, vendor and subcontractor contracts, RFPs/RFQs, proposals, and other legal documents.
