  • In this role, you will serve as the senior executive responsible for thecompany’s corporate governance framework, ensuring effective functioning of theBoard of Directors and its committees while promoting the highest standards ofintegrity, transparency, and regulatory compliance
  • This role is a key advisor to the Board, CEO, CLO andexecutive leadership on governance strategy, corporate law matters, andstakeholder engagement
  • You will manage all aspects of board operations,corporate recordkeeping, securities compliance, and governance-relateddisclosure
  • You will manage thesupport and preparation of materials for meetings of the Board ofDirectors and its Committees, including drafting agendas, narratives andproposed resolutions and coordinating with the CEO and senior executiveson presentations and related materials
  • Oversee thecompany’s corporate governance framework, policies and best practicebenchmarking
  • Advise theBoard, CEO and senior management on emerging governance trends, regulatorychanges, and institutional investor and proxy advisory firm expectations
  • Ensurecompliance with SEC, Nasdaq and other applicable regulatory filing anddisclosure requirements (including without limitation requirementsapplicable to the company under Irish law)
  • Overseepreparation and filing of annual proxy statement, Section 16 filings, andgovernance-related disclosure in 10-K and 10-Q report
  • Providegovernance input into annual reports and stakeholder communications
  • You will manage annualmeeting of shareholders, including shareholder proposals and votingprocesses and supportshareholder engagement efforts and governance-related investorcommunications
  • Management ofcorporate secretary recordkeeping, including form documents, Board minutesand materials, attendance records and documentation related to directorsand officers
  • Maintain clearand regular engagement with senior leaders in the Law Department and, asappropriate, members of the Board of Directors, other corporatestakeholders, and external entities
  • Compile anddistribute Board and Committee meeting books and materials electronicallythrough BoardVantage
  • Manage andoversee director compensation program, including deferrals is part of your role
  • Manage thedrafting, distribution and collection of D&O questionnaires, includingwithout limitation as it relates to director and office equity holdings
  • Manage the onboardingprocess for new directors, as well as to maintain andmanage the company’s insider trading policy, including stock tradingwindows and blackout notices
  • Also, you will oversee entitymanagement and corporate services, including incorporations, amendments,qualifications, withdrawals, name changes, and tracking registrations /filing reports
  • Maintenance ofthe company's subsidiaries and their respective state and other licenses

  • A Juris Doctordegree from accredited U.S. law school, plus admission toat least one state bar is required plus 12+ years ofexperience in corporate governance, corporate law and securitiesregulation; prior experience serving as corporate secretary or deputypreferred

  • Deepunderstanding of SEC and stock exchange rules, corporate governance bestpractices and fiduciary duties
