Linde Inc. is seeking a Corporate Governance Paralegal in Danbury, CT. You will support Board matters, prepare governance materials, and assist with SEC filings and insider trading compliance in a collaborative, in-house role.

The ideal candidate has 7–10 years of governance paralegal experience with a public company and strong communication skills. Associate degree and paralegal certification are preferred. This is a full-time on-site position offering a comprehensive benefits package.

Responsabilidades

• Assist with corporate governance matters, including preparing and maintaining public company policies and the corporate governance website.
• Collaborate on Board matters, including meeting prep, agenda and materials drafting, director compensation and orientation.
• Assist with Insider Trading Program compliance and stock trading clearances.
• Prepare SEC Section 16 insider trading filings.
• Draft SEC filings on Form 8-K and contribute to Form 10-K/10-Q sections.
• Prepare AGM proxy statement sections and draft director/officer questionnaires.
• Support subsidiary maintenance, drafting secretary certificates, and other certificates.

What Makes You Great

• Minimum of seven to ten (7-10) years of corporate governance paralegal experience preferably with a combination of law firm and in-house experience; significant public company experience is essential
• Associate’s degree is preferred
• Paralegal Certification is preferred
• You have strong communication and interpersonal skills, with a collaborative approach and a demonstrated ability to work effectively in a team-oriented environment
