Job summary

Karadeniz Holding in Istanbul seeks a Senior Legal Counsel (Contracts) to draft, review and negotiate a broad range of domestic and international contracts, including supply, procurement and services.

You will provide day-to-day legal support to business teams, manage disputes, and collaborate with cross-functional teams on complex transactions, with a hybrid work setup and emphasis on international compliance.

Qualifications

• Bachelor’s degree in law and Bar admission; LL.M. is considered an asset.
• 6–7 years of hands-on experience in commercial contracts, procurement and supply agreements, domestic and cross-border commercial transactions, and general commercial advisory matters.
• Strong knowledge of commercial law, law of obligations, and contract law principles.
• Advanced professional proficiency in both written and spoken English; ability to negotiate, draft and advise directly in English.

Responsibilities

• Draft, review, negotiate and manage a broad range of domestic and international contracts, including supply, procurement, services, consultancy, confidentiality and project-related agreements.
• Provide day-to-day legal support and commercially sound advice to business teams on contractual, commercial and operational matters.
• Lead contract negotiations with local and international counterparties and support strategic commercial transactions from inception to execution.
• Provide legal advice on commercial, contractual, corporate and regulatory matters relating to the Company’s operations, projects and international business activities.
• Support cross-border projects and transactions by identifying legal risks and developing practical risk mitigation strategies.
• Collaborate closely with procurement, commercial, technical, finance and operational teams to facilitate business objectives while safeguarding the Company’s interests.
• Manage disputes, claims and external counsel where required, and support pre-dispute and settlement processes.
• Review and prepare legal memoranda, internal guidance notes, correspondence and corporate documentation.
• Monitor legal and regulatory developments relevant to the Company’s operations and advise on their potential impact.
• Take ownership of assigned legal matters and deliver timely, pragmatic and business-focused legal solutions.

As part of our growing team, we are looking for a “Senior Legal Counsel (Contracts)” to join our ‘’Legal’’ department, based at our İstanbul Kağıthane HQ.

WHAT DO WE EXPECT?

• Bachelor’s degree in law and admission to the Bar. LL.M. is considered an asset.
• 6-7 years of hands-on experience in commercial contracts, procurement and supply agreements, domestic and cross-border commercial transactions, and general commercial advisory matters. Experience in domestic and international commercial transactions is essential.
• Strong knowledge of commercial law, law of obligations, and contract law principles.
• Advanced professional proficiency in both written and spoken English. Ability to negotiate, draft and advise directly in English is a must.
• Proven experience in drafting, reviewing and negotiating complex commercial agreements, including supply, procurement, services, confidentiality and project-related contracts.
• Strong commercial awareness and ability to identify, assess and mitigate legal, contractual and commercial risks while providing practical and business-oriented advice.
• Excellent analytical, drafting, communication, and stakeholder management skills, with the ability to engage effectively across all levels of the organization.
• Ability to manage multiple matters simultaneously, work independently, and collaborate effectively with cross-functional and international teams.
• Self-motivated, proactive and solution-oriented mindset.
• No restriction for domestic and international travel when required.
