We are looking for a “Legal Manager” to be assigned to our ‘Legal’ department located in İstanbul HQ .
WHAT DO WE EXPECT?
- Bachelor’s degree in law from a leading university (LL.M is a plus).
- At least 8 years experience in corporate law, commercial law, financing or a related field (experience in the power generation, energy, shipping, or infrastructure sectors is a plus).
- Very good command of French, both written and spoken, is required, given the role’s focus on Francophone African countries.
- Proficiency in written and spoken English is a must.
- Strong drafting and negotiation skills, attention to detail and sound judgement.
- Strong understanding of commercial and legal risk in complex contracts and the ability to evaluate interrelated processes for providing practical and business-oriented advice.
- Ability to manage multiple priorities in a fast-paced environment, collaborate across different teams and time zones, and support legal structuring while mitigating risk under tight deadlines.
- Strong research and analytical skills, with the ability to handle competing priorities and deliver high-quality work within tight timelines
- Proactive attitude, and strong communication skills with persuasive and influential capabilities and ability to communicate and collaborate with multi-national (internal and external) counterparts.
- Both self-motivated and teamwork oriented.
- No restriction to travel domestically and internationally when required.
WHAT AWAITS YOU?
- Provide sound and comprehensive legal advice to the Company on legal matters related to its business activities, projects, and operations across the assigned Francophone African countries.
- Follow up and obtain all necessary permits, authorizations, consents, and licenses, and provide legal support to the relevant units and departments throughout the related application processes.
- Identify, assess, and manage legal risks arising from the Company’s business activities, projects, and operations, and take the necessary actions to protect and defend the Company’s interests.
- Ensure that the Company’s business operations, commercial activities, and projects comply with applicable laws, regulations, and other relevant legal requirements in the countries of responsibility.
- Draft, review, negotiate, and finalize various types of agreements, including but not limited to power purchase agreements, charter agreements, sale and purchase agreements, supply contracts, LNG/NG SPAs, term sheets, HoTs, intercompany loans and intragroup transactions, finance and security agreements, CP documents, construction agreements, and consultancy/service agreements.
- Oversee legal matters related to all projects under execution in the assigned region, providing legal guidance throughout project implementation and supporting the resolution of legal and contractual matters that may arise during project execution.
- Work closely with the Business Development team in the preparation, review, and negotiation of tender documents, proposals, term sheets, and other project-related documentation, and provide legal support during commercial discussions and negotiations with relevant stakeholders.
- Negotiate legal and commercial matters and deals on behalf of the Company, within the scope of assigned responsibilities and authority, including negotiations with customers, suppliers, partners, governmental authorities, and other relevant stakeholders.
- Monitor the Company’s legal obligations arising from agreements and provide the necessary legal support to ensure compliance throughout project execution and ongoing operations.
- Liaise with and provide legal support to the HQ Legal Department, external law firms, legal consultants, and relevant internal stakeholders, as required.
- Monitor changes and updates in laws and regulations relevant to the Company’s business, projects, and operations in the countries of responsibility and inform the Company accordingly. Draft, review, amend, and/or recommend modifications to relevant legal documents, policies, and practices where necessary.
- Review and prepare board resolutions and general assembly meeting documents, support the establishment of branches, and follow up on corporate law requirements to be fulfilled by the Company.
- Follow up on disputes between the Company and third parties and initiate and pursue legal proceedings, in coordination with relevant parties, as required by the Company.
- Implement the Compliance Program, review and update relevant policies, coordinate background checks, identify compliance risks, and support the planning and implementation of compliance trainings. Act as the Legal Compliance Representative, as assigned.
- Implement the LGPD Program, review and update relevant policies, coordinate and deliver related trainings, respond to requests from relevant authorities, and act as the Data Protection Officer (DPO), as assigned.
- To control accuracy of all work and processes that (s)he carries out, to ensure agreement with relevant parties and to be responsible for the results.
- To comply with the company's risk management approach and to support maintenance of risk awareness in the processes within the scope of his/her duties.
- To comply with procedures, instructions, and regulations of all implemented Management Systems and to monitor compliance with the rules.
