Job summary

RePie Yatırım Holding is seeking an M&A Legal Associate to support the full lifecycle of mergers, acquisitions, divestitures, and related corporate transactions. The role collaborates with the Investment Team to handle due diligence, draft and negotiate transaction documents, and drive deals from origination through closing.

The candidate will manage data rooms, coordinate input from tax, finance, and regulatory experts, and participate in post-closing integration and housekeeping activities.

Qualifications

• Law degree from a reputable university.
• Approximately 5 years of relevant post-qualification experience in M&A and structured finance transactions.
• Experience drafting and negotiating M&A transaction documents and running due diligence.
• Strong knowledge of corporate law and familiarity with transaction structures and deal processes.
• Excellent drafting, analytical, and organizational skills, with strong attention to detail.
• Ability to manage multiple workstreams under deadline pressure and to prioritize effectively.
• Strong written and verbal communication skills; comfortable dealing directly with clients or business stakeholders.
• High level of professional integrity, discretion, and sound commercial judgment.
• Fluency in English

Responsibilities

• Conduct and manage legal due diligence across corporate, commercial, employment, IP, regulatory, and other workstreams, and prepare clear due diligence reports and risk summaries
• Draft, review, and negotiate transaction documents, including share and asset purchase agreements, merger agreements, disclosure schedules, term sheets, letters of intent, NDAs, and ancillary and closing & post-closing documents
• Set up and administer data rooms, coordinate document requests, and track diligence findings to resolution
• Support deal structuring and coordinate input from tax, finance, regulatory, and other specialists
• Prepare and manage regulatory and antitrust/merger control filings and related correspondence, in coordination with external counsel where needed
• Manage closing mechanics, including condition-precedent checklists, signing and closing logistics, and post-closing deliverables
• Support post-closing matters such as integration, corporate housekeeping, and completion accounts.
• Liaise with investors or internal stakeholders, external counsel, and counterparties to keep transactions on schedule
• Maintain accurate records, precedents, and knowledge-management materials

Working alongside the Investment Team, you will handle legal due diligence processes, draft and negotiate transaction documents, and help drive deals from origination to closing (including post-closing integration matters) This is a hands‑on role for a commercially minded counsel who wants considerable responsibility on live transactions
