COMPANY PROFILE

Centrum Solutions Pte Ltd is a Singapore-based multimodal logistics and freight-forwarding company providing air, sea and integrated transportation solutions.

We are seeking a Legal, Procurement and Contracts Executive to support the company’s procurement activities, commercial contract administration and routine legal documentation.

The successful candidate will coordinate with management, operations, sales, finance, vendors, carriers, overseas agents and external professional advisers. The position combines supplier sourcing, commercial negotiation, contract preparation, compliance support and contract-record management.

KEY RESPONSIBILITIES
Procurement and Vendor Management
  1. Source and evaluate suppliers, transport providers, carriers, subcontractors and other service providers.
  2. Obtain quotations and conduct commercial comparisons based on price, service capability, quality, reliability and contractual risk.
  3. Prepare requests for quotations, quotation-comparison reports, purchase requests and purchase orders.
  4. Support negotiations on pricing, payment terms, service levels, liabilities and other commercial conditions.
  5. Coordinate the procurement of operational services, office requirements and other approved business purchases.
  6. Conduct vendor onboarding and collect the required company, banking, licensing, insurance and compliance documents.
  7. Maintain an approved vendor list and update supplier information when required.
  8. Monitor supplier performance, contract compliance, service quality and agreed pricing.
  9. Assist with supplier reviews and recommend corrective action where performance does not meet agreed requirements.
  10. Coordinate with finance to resolve discrepancies involving quotations, purchase orders, invoices and payments.
Contract Preparation and Administration
  1. Prepare and maintain standard commercial documents using approved company templates.
  2. Draft, review and coordinate routine agreements, including:
  • Freight-forwarding service agreements
  • Transportation and subcontractor agreements
  • Overseas-agent agreements
  • Vendor and supplier agreements
  • Service-level agreements
  • Non-disclosure agreements
  • Rate and pricing agreements
  • Purchase terms and conditions
  • Contract amendments, renewals and termination notices
  1. Review contracts for commercial terms, payment obligations, liability provisions, indemnities, insurance requirements, confidentiality, termination rights and dispute-resolution clauses.
  2. Compare counterparty terms against approved company positions and identify material contractual differences.
  3. Coordinate internal reviews and approvals before contracts are issued or signed.
  4. Liaise with counterparties to clarify proposed contractual terms and consolidate amendments.
  5. Maintain a central contract register containing contract owners, effective dates, expiry dates, renewal dates and notice periods.
  6. Monitor upcoming renewals, expirations, insurance-document deadlines and contractual obligations.
  7. Maintain signed contracts, correspondence, approvals and supporting documents in an organised and accessible filing system.
  8. Ensure that only authorised representatives approve and sign contracts on behalf of the company.
Legal and Compliance Support
  1. Conduct initial reviews of routine commercial documents and identify matters requiring management or external legal review.
  2. Support the preparation of business correspondence, notices, claims, responses and contract-related documentation.
  3. Assist in coordinating contractual disputes, cargo claims, vendor issues and recovery matters.
  4. Maintain records relating to corporate licences, insurance policies, regulatory submissions and compliance documents.
  5. Support compliance checks relating to sanctions, anti-money laundering and counter-financing of terrorism, anti-bribery and export-control requirements.
  6. Assist with counterparty due diligence by verifying corporate registration, ownership information, licences and other relevant documents.
  7. Coordinate with external lawyers, insurers, auditors, corporate secretaries and regulatory advisers when specialist advice is required.
  8. Monitor relevant regulatory or contractual developments affecting the company’s logistics and freight-forwarding activities.
  9. Prepare summaries of contractual risks and present the relevant information to management for decision‑making.
  10. Perform other procurement, contract-administration and legal-support duties reasonably assigned according to business requirements.
