Job summary

Olayan Saudi Holding Company is seeking a junior Legal Counsel to prepare, review and amend transactional documents such as purchase agreements, shareholder agreements and licenses to minimize risks and ensure compliance with applicable laws and internal policies. Qualifications

• Bachelor’s degree in Corporate Law or equivalent.
• 1–2 years of experience in the legal domain.
• Experience with transactional work is highly preferred.

Responsibilities

• Assist in preparing, reviewing and amending all transaction-related documentation such as purchase agreements, shareholder agreements, salary agreements, distribution agreements, license agreements, etc.
• Conduct legal research and analysis to support providing accurate and timely legal advice to stakeholders.
• Conduct legal analysis and assess risks and opportunities associated with various transactions.
• Carry out legal due diligence by collecting and assessing joint ventures' documents to identify legal risks.
• Support in sourcing external law firms and coordinating with them to ensure alignment with company rules.
• Prepare, revise and amend legal documents related to external communications and ensure compliance with transaction frameworks.
• Maintain accurate records of external communications and legal transactions; support Senior Legal Counsels.
• Coordinate with government bodies such as Ministry of Commerce and represent the company before officials.
