We are looking for a talented Contracts Specialist to join our team. In this role, you will be responsible for drafting and formulating all types of contracts and agreements to which the company is a party with precise and robust legal language, in accordance with legal controls, approved templates, and best contractual drafting practices. This ensures compliance with the laws and regulations in force in the Kingdom of Saudi Arabia related to real estate development activities, in coordination with requesting departments and review entities. The role involves managing the contracting cycle through signature, archiving, and contract register updates to safeguard the company’s rights, mitigate contractual risks, and support governance and disclosure requirements applicable to joint-stock companies.
Key Responsibilities:
- Prepare and draft all types of company contracts and agreements using clear, unambiguous, and concise legal language. This includes verifying regulatory compliance, validating the legal capacity and data of all parties, and ensuring alignment with relevant Saudi laws—such as the Civil Transactions Law, Companies Law, Off-Plan Sale or Lease Regulations, General Real Estate Authority regulations, and other applicable statutes.
- Review incoming contracts from third parties to identify non-compliant, unbalanced, or high-risk clauses, and provide alternative drafting proposals. This includes preparing addenda, amendments, extensions, terminations, settlements, and releases, as well as producing bilingual (Arabic/English) copies with verified content consistency and Arabic-text precedence.
- Manage contract requests through the approved portal to verify document completeness, collaborate with requesting departments to translate operational needs into clear clauses, and coordinate with internal and external legal reviewers while participating in contractual negotiations.
- Monitor internal approval workflows according to the delegation of authority matrix, verify proper execution and electronic/physical signatures from authorized signatories, and collect associated guarantees such as bank guarantees and insurance policies.
- Oversee electronic and physical contract archiving with high quality and systematic indexing, manage and update the contract register, and track expiration dates while notifying relevant stakeholders well in advance.
- Identify related-party contracts and route them through the mandatory governance approval pathways (Audit Committee/Board of Directors), prepare contractual data required for disclosures and due diligence, and monitor high-impact contracts or those involving exclusivity and non-competition commitments.
Technical Skills:
- Legal drafting and contract writing, legal analysis, and text interpretation.
- Regulatory and precedent research, contractual risk identification and mitigation, and legal memorandum preparation.
- Version control, change tracking, contract register management, and electronic/physical archiving.
- Mastery of legal terminology in Arabic and English, alongside professional legal translation.
- Proficiency in Microsoft Office (Word, Excel, PowerPoint), responsible use of artificial intelligence tools, and familiarity with contract management systems.
- Professional confidentiality, integrity, and ethics.
- High accuracy and attention to detail.
- Strong organization, priority management, time management, and ability to work under pressure.
- Strict adherence to deadlines and regulatory timeframes.
- Effective communication and teamwork.
- Proactiveness, continuous learning, objectivity, neutrality, conflict-of-interest avoidance, accountability, and reliability.
Qualifications and Experience:
- Bachelor’s degree in law or Regulations from a recognized university.
- A minimum of two (2) years of practical experience in drafting, reviewing, and negotiating contracts or within general legal practice (preferably within real estate development, contracting, or specialized real estate law firms).
- Comprehensive familiarity with Saudi laws and regulations relevant to the company’s business activities.
- Full proficiency in reading and writing English, with the ability to review and draft legal contracts and correspondence in English, alongside a strong grasp of legal terminology in both languages.
- Proficiency in computer applications, Microsoft Office tools, AI applications, contract management systems, and electronic archiving solutions.
